Minuto is a technology and payments platform. We do not give professional advice and we do not check whether the advice an expert gives you is correct. The expert alone is responsible for what they tell you and for holding whatever licence or registration their profession requires. If a matter is urgent, medical, legal or financially serious, get independent professional help.
These Terms are a binding agreement between you and RioCloud Solutions, which operates Minuto ("Minuto", "Platform", "we", "us"). By creating an account, starting a call, listing as an expert or making a payment, you accept these Terms. If you do not accept them, do not use Minuto.
1. Definitions
- Expert — an independent professional who lists on Minuto and takes calls.
- Client — a person who calls an Expert through a Minuto link.
- Call — a live audio conversation between a Client and an Expert, run in the browser.
- Free minutes — the introductory minutes an Expert offers at no charge (typically 3 to 10 minutes).
- Paid block — an additional block of call time a Client buys — 15, 30 or 60 minutes — at the Expert's posted rate.
- Wallet — the running balance Minuto holds for an Expert from completed paid calls, before payout.
2. What Minuto is — and what it is not
Minuto provides two things: the technology to connect a Client and an Expert on a timed audio call, and a payment mechanism to collect and settle the fee for that call.
Minuto is not:
- a provider of legal, medical, veterinary, financial, tax, psychological, educational, astrological or any other professional service;
- a law firm, a chartered accountancy firm, a medical practice, a SEBI-registered investment adviser, a hospital, a counselling service or a tutoring institution;
- the employer, partner, agent or supervisor of any Expert. Experts are independent and contract directly with the Client;
- a verifier of the quality, accuracy or suitability of any advice given on a call;
- an emergency service. Minuto must never be used for medical emergencies, crisis situations or anything requiring immediate physical help.
The professional relationship, and any duty of care that comes with it, is between the Client and the Expert.
3. Eligibility and your account
- You must be 18 or older and capable of entering a contract under Indian law.
- You must give accurate information and keep it up to date.
- You are responsible for everything done through your account. Do not share your login link or one-time code with anyone.
- One person, one account. Do not impersonate anyone or misstate your qualifications.
- Tell us immediately if you think someone else has used your account.
4. How a call works
- The Client opens the Expert's link and taps Call Now. No payment details are required to start.
- The free minutes begin, with a countdown both people can see. The Client pays nothing for this time.
- At 0:00 the call pauses. Neither side is disconnected — the audio simply stops until the Client chooses what to do next.
- The Client can end the call there at no cost, or buy a paid block of 15, 30 or 60 minutes with one tap via UPI or another Razorpay method.
- Once the payment is confirmed, the call resumes and the countdown restarts for the purchased time. This can repeat as many times as the Client chooses.
- Either side can end the call at any point.
Calls are audio only and run in the browser — no app is needed. Timing is measured on Minuto's servers, not on your device, so a browser refresh or a network drop does not steal your paid minutes. Minuto does not record calls. Neither party may record a call without the other's clear consent.
Call quality depends on your internet connection, your device, and our call provider (Daily.co). We cannot guarantee an uninterrupted call.
5. Prices, payments and commission
- Each Expert sets their own per-minute rate and free-minute allowance. The price of a block is shown clearly before the Client pays.
- All prices are in Indian Rupees (INR).
- Payments are processed by Razorpay. Minuto collects the payment on the Expert's behalf as their payment facilitator.
- Minuto's commission is 10% of the paid call value. Founding experts pay 0% for their first 90 days on the platform, after which the standard rate applies. Applicable taxes, including GST on our commission, are charged as required by law.
- The remaining amount is credited to the Expert's Wallet after the paid call completes.
- Experts request a payout from their dashboard. Payouts are currently made manually to the Expert's registered UPI ID, on a weekly cycle. We may hold a payout while we investigate a dispute, a chargeback or suspected fraud.
- Experts are solely responsible for their own income tax, GST registration and filings on their earnings. Minuto is not the Expert's employer and does not deduct tax on their behalf except where the law requires it.
- Refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms.
6. Expert obligations
If you list as an Expert, you confirm and agree that:
- You hold every licence, registration, membership or permission your profession requires, that it is current and in good standing, and that you will tell us immediately if it lapses or is suspended.
- Any credential number you enter is genuine and yours. You self-certify your registration. Minuto may ask for proof and may show a verification badge, but our checks are limited and are not a guarantee of your competence to any Client.
- You comply with the rules of your own regulator or professional body — including advertising, solicitation, fee-sharing, scope-of-practice and record-keeping rules — and you have satisfied yourself that offering paid consultations through Minuto is permitted for your profession.
- You give advice honestly, within your competence, and you tell the Client plainly when a matter is outside your expertise or needs an in-person consultation.
- You keep what Clients tell you confidential, and you comply with data protection law in how you handle it.
- You do not solicit payment outside the platform for a consultation that began on Minuto, and you do not use the platform to move Clients off it in order to avoid commission.
- You go "live" only when you are genuinely available to take calls.
- You are solely responsible for your advice and for any loss a Client claims arose from it.
7. Client obligations
- Give the Expert accurate information — advice based on wrong facts will be wrong.
- Treat the Expert respectfully. Abuse, harassment and threats end the call and the account.
- Understand that advice on a short audio call is general in nature and is not a substitute for a full professional engagement, an in-person examination, or a written opinion.
- Do not record the Expert without their consent, and do not republish or resell what an Expert tells you as your own professional advice.
8. Prohibited uses
You must not use Minuto to do any of the following. This list is not exhaustive.
- Practise medicine without registration. No one may diagnose, prescribe medicines, alter a prescription, or hold themselves out as a doctor unless they are registered with the National Medical Commission or the relevant State Medical Council and are practising within the applicable telemedicine guidelines. Non-medical experts must not give treatment or prescription advice of any kind.
- Give unregistered investment advice. No one may give securities, stock, mutual fund, derivative, commodity or other investment advice, or issue research recommendations, unless they are registered with SEBI as an Investment Adviser or Research Analyst (or are exempt under SEBI regulations) and comply with those regulations. Nobody may promise, guarantee or imply assured returns.
- Breach Bar Council of India rules. Advocates using Minuto are responsible for ensuring their listing, profile, rates and any promotion of their services comply with the Bar Council of India Rules on advertising and solicitation, and with their State Bar Council's directions. Do not use Minuto in any way that would amount to prohibited solicitation of legal work.
- Give unlicensed advice in any other regulated field — including veterinary practice, clinical psychology, insurance distribution, immigration consulting, architecture or engineering certification — without the registration that field requires.
- Guarantee outcomes. No promises of guaranteed cures, guaranteed case results, guaranteed exam results, guaranteed visas or guaranteed financial returns. Astrology, tarot, numerology, vastu and similar services are offered for guidance and entertainment; they must not be presented as medical, legal or financial advice, and must not be used to sell "remedies" for disease, to make fear-based claims, or to promise a specific outcome.
- Handle emergencies. Do not use Minuto for medical emergencies, self-harm crises, or situations needing immediate physical help. Contact your local emergency services.
- Anything illegal, harmful or abusive — fraud, money laundering, hate speech, threats, harassment, stalking, sexual content, content involving minors, or anything that infringes someone's intellectual property or privacy.
- Attack or abuse the platform — scraping, reverse engineering, bypassing the timer or paywall, creating fake accounts, manipulating reviews, or interfering with other users' calls.
- Circumvent payments — taking a consultation that started on Minuto off-platform to avoid our commission.
9. Reviews and public content
Only Clients who completed a call may leave a review. You are responsible for what you write. We may remove content that is abusive, defamatory, misleading, discloses private information, or breaches these Terms. Experts must not offer anything in exchange for a positive review, or pressure a Client to remove a negative one.
You keep ownership of the content you post, and you grant Minuto a non-exclusive, royalty-free licence to display it on the platform for the purpose of running the service.
10. Suspension and termination
We may suspend or close an account, remove a listing, cancel a call or withhold a payout if we reasonably believe there has been a breach of these Terms, fraud or attempted fraud, repeated Client complaints, a false or lapsed credential, a direction from a regulator or court, or a risk to other users. Where it is practical and lawful to do so, we will tell you why and give you a chance to respond.
You may close your account at any time by writing to info@riocloudsolutions.com. Any Wallet balance properly earned and not subject to a dispute will be paid out on the next payout cycle. Closing your account does not affect payments already made or our record-keeping obligations.
11. Disclaimers
Minuto is provided "as is" and "as available". To the fullest extent permitted by law, we make no warranty that the service will be uninterrupted, error-free, or that any particular Expert will be available at any given time.
We do not endorse, recommend, verify or take responsibility for any Expert, or for any advice, opinion, recommendation, remedy or information given on a call. Any decision you take based on a call is your own. Where a category is regulated, Experts self-certify their registration, and Minuto's checks are limited.
12. Limitation of liability
To the fullest extent permitted by Indian law:
- Minuto is not liable for the acts, omissions, advice or conduct of any Expert or Client.
- Minuto is not liable for indirect, incidental, special or consequential loss, or for loss of profit, business, goodwill, savings or data.
- Our total liability to you for any claim connected with the service is limited to the amount you paid through Minuto for the specific call giving rise to the claim, or ₹5,000, whichever is lower.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by our negligence.
13. Indemnity
You agree to indemnify Minuto against claims, damages, penalties and reasonable legal costs arising from your breach of these Terms, your breach of law or of your professional or regulatory obligations, or — if you are an Expert — from the advice or services you provided to a Client.
14. Third-party services
Minuto relies on Daily.co for calls, Razorpay for payments, Google for optional sign-in, and an email provider for notifications. Your use of those services is also subject to their terms. We are not responsible for their outages, decisions or acts.
15. Changes to these Terms
We may update these Terms. The "Last updated" date will change, and for significant changes we will email registered users. Continuing to use Minuto after a change means you accept the updated Terms.
16. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Chandigarh, India shall have exclusive jurisdiction over any dispute arising out of or connected with these Terms.
Before starting any proceeding, please raise the issue with our Grievance Officer so we can try to resolve it.
17. General
- If any clause is found unenforceable, the rest stays in force.
- Our not enforcing a clause on one occasion does not waive it.
- You may not transfer your rights under these Terms. We may transfer ours as part of a business transfer.
- These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the whole agreement between us.
